Terms of Service
These Terms of Service govern your access to and use of the websites, games, portals, APIs, software, social media services, licensed systems, and related services provided by Resurge Games FZ-LLC.
Company
The services are provided by Resurge Games FZ-LLC, FOB50127 Compass Building, Al Shohada Road, Al Hamra Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates. You can contact us at support@resurgegames.com.
Acceptance
By accessing or using the services, creating an account, purchasing a license, subscribing, connecting a third-party account, or accepting an order, proposal, statement of work, or invoice from us, you agree to these Terms. If you use the services for a company or organization, you confirm that you are authorized to bind that organization.
Services Covered
These Terms apply to websites, games, portals, APIs, software, client and admin portals, licensed booking and ecommerce systems, web development and IT services, game publishing and development services, social media management services, and related operational systems provided by or for Resurge Games FZ-LLC. They also apply to Resurge Development, which is the TikTok developer app owned and developed by Resurge Games FZ-LLC.
We describe services by category instead of naming every customer project or internal tool, so these Terms remain accurate as our services and customer systems evolve.
Customer Agreements
A signed order, proposal, statement of work, master services agreement, subscription agreement, invoice, or other written customer agreement may include additional or different terms for a specific service. If there is a conflict between these public Terms and a signed written agreement, the signed written agreement controls for that customer service to the extent permitted by law.
Eligibility and Accounts
Tenno is intended for users aged 12 or older, subject to platform age ratings, parental controls, and local law. Our client, SaaS, portal, business, and paid account services are intended for users aged 18 or older, customers, clients, authorized representatives, and users who are legally able to enter into a binding agreement. You must provide accurate account information, keep credentials confidential, and promptly notify us of unauthorized access. You are responsible for activity under your account unless the activity was caused by our breach of these Terms.
Licenses and Ownership of Our Software
Unless a signed written agreement says otherwise, Resurge Games FZ-LLC and its licensors retain all rights, title, and interest in our software, source code, tools, designs, systems, workflows, templates, libraries, game content, documentation, and other technology.
When we provide booking systems, ecommerce systems, portals, or other SaaS products, we grant the customer a limited, non-exclusive, non-transferable, revocable license to access and use the service during the active subscription or contract term. The underlying code remains ours. Customers rent the right to use the licensed service; they do not buy the source code or underlying platform unless a signed written agreement expressly transfers those rights.
Customer Content and Data
You retain ownership of content, data, files, media, brands, trademarks, product information, booking data, ecommerce data, social posts, and other materials that you provide to us or enter into the services. You grant us a worldwide, non-exclusive license to host, process, copy, display, transmit, modify, and use that content only as needed to provide, secure, support, improve, and document the services.
You are responsible for ensuring that you have all permissions, rights, consents, licenses, and legal bases required for the content and data you provide, upload, publish, or ask us to process.
Social Media Services
Our social media services may connect to providers such as Instagram, Facebook, Threads, and TikTok. Resurge Development is our TikTok developer app for connecting TikTok accounts, uploading content, creating drafts, and publishing videos where authorized.
When you connect a social account, you authorize us and the relevant provider to exchange and store the tokens, account details, scopes, media, captions, schedules, publishing settings, and status information needed to provide the integration. We will only upload, schedule, draft, or publish content according to actions configured or approved by you or your authorized users.
You are responsible for social media content, publishing instructions, rights to uploaded media, compliance with each platform's terms and policies, and any consequences of posts made through connected accounts. Uploaded media may remain in a media gallery until you or an authorized user deletes it, deletes the related account, or asks us to remove it.
Community Bots and Automations
Our community bots and automations may process community platform account data, avatars, message content, command interactions, channel or server metadata, and API responses to forward messages, answer commands, fetch game or service data, automate replies, and operate community support features. You are responsible for your messages and command interactions, and third-party platform rules continue to apply.
Games, Virtual Currency, and Subscriptions
Game accounts, game progress, virtual currency, virtual items, subscriptions, rewards, and other digital game benefits are licensed, not sold. They have no cash value, are not property, and may not be sold, transferred, exchanged, sublicensed, or redeemed outside the game or service unless we expressly allow it in writing.
We may create, modify, rebalance, remove, suspend, or discontinue virtual content, game features, prices, rewards, and subscriptions when needed for security, gameplay balance, legal compliance, fraud prevention, product changes, or service operations.
App Stores and Platform Terms
Our games, including Tenno, may be distributed through Steam, Google Play, and the Apple App Store. Your access through those platforms may also be governed by the applicable platform terms, store rules, payment terms, refund rules, content policies, family settings, age ratings, review rules, and account requirements.
App stores and payment platforms may process purchases, subscriptions, refunds, taxes, chargebacks, fraud checks, device identifiers, diagnostics, crash data, performance data, and account information. We may rely on platform records to verify purchases, grant licensed virtual content, maintain subscriptions, prevent fraud, and provide support.
Payments, Invoices, and Refunds
Fees are due according to the order, invoice, subscription, portal checkout, app store purchase flow, or written agreement that applies. Payments may be processed by providers such as Stripe, Xendit, Plisio, Apple App Store, Google Play, Steam, or other approved processors. Those providers may apply their own terms, fees, verification checks, chargeback rules, and privacy practices.
Unless mandatory law or a specific written refund policy requires otherwise, payments for delivered digital content, virtual currency, virtual items, subscriptions, license access, completed service work, setup work, and consumed services are final and non-refundable. Virtual currency and digital items may be spent, consumed, or granted instantly and often cannot be recovered or reversed.
Purchases made through Apple App Store, Google Play, Steam, or another third-party platform are also subject to that platform's payment and refund rules. Platform refunds, chargebacks, or reversals may result in reversal of licensed virtual content, loss of access, account restrictions, or other service changes where permitted by law and platform rules.
Failed payments, chargebacks, fraud indicators, unauthorized payment activity, or unpaid invoices may result in suspension, termination, reversal of benefits, loss of access, or recovery action.
Acceptable Use
You must not use the services to break the law, infringe rights, upload malware, attack or overload systems, bypass security, scrape or reverse engineer the services, harass others, impersonate anyone, submit false or misleading information, manipulate gameplay or payments, abuse support channels, or publish unlawful, hateful, exploitative, deceptive, or unauthorized content.
Client Responsibilities
For development, SaaS, ecommerce, booking, and portal services, customers are responsible for their business content, product information, prices, tax settings, customer communications, legal notices, backups outside our managed scope, staff access, and compliance obligations unless a signed written agreement assigns a specific obligation to us.
For booking and ecommerce SaaS services, customers control their own internal booking, customer, product, order, physical goods, shipping, fulfillment, return, warranty, and ecommerce data. We provide and operate the software service and may access customer data only as needed to host, maintain, secure, troubleshoot, improve, or support the service, or when the customer asks us to help.
Internal Operations
We may use self-hosted and internal tools to back up data, monitor servers, track errors, publish status information, manage finance and accounting records, automate workflows, manage tasks, and support staff-only knowledge retrieval. These tools are not customer products unless we expressly make a tool available to a customer under a separate agreement.
Third-Party Services
The services may integrate with third-party platforms, app stores, payment processors, social networks, hosting providers, email providers, open-source software, analytics, anti-abuse, and diagnostics tools. We are not responsible for third-party services that we do not control, and your use of them may be governed by their own terms and privacy policies.
Availability and Changes
We work to keep the services reliable, but we do not guarantee uninterrupted or error-free availability. We may update, maintain, suspend, limit, replace, or discontinue all or part of the services when needed for security, performance, legal compliance, provider changes, business needs, or product development.
Suspension and Termination
We may suspend or terminate access if we reasonably believe that you breached these Terms, failed to pay, created security risk, violated platform rules, infringed rights, committed fraud, used the services unlawfully, or exposed us, our customers, users, providers, or services to risk. You may stop using the services at any time, but unpaid fees and obligations that accrued before termination remain due.
Privacy
Our Privacy Policy explains how we collect, use, store, and share personal data. By using the services, you agree that we may process data as described in the Privacy Policy and in any signed written agreement that applies.
Confidentiality
When we exchange non-public business, technical, financial, security, product, or customer information, each party must protect that information using reasonable care and use it only for the relationship between the parties, unless disclosure is required by law or authorized by the disclosing party.
Disclaimers
To the maximum extent permitted by law, the services are provided on an "as is" and "as available" basis. We disclaim all warranties not expressly stated in a signed written agreement, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted operation, and error-free performance.
Limitation of Liability
To the maximum extent permitted by law, Resurge Games FZ-LLC will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or lost-profit damages, or for loss of data, goodwill, revenue, business opportunity, virtual currency, virtual items, or platform access. Our total liability for any claim is limited to the amount you paid us for the affected service during the three months before the event giving rise to the claim, unless mandatory law requires a different limit.
Indemnity
You agree to defend, indemnify, and hold harmless Resurge Games FZ-LLC from claims, damages, liabilities, costs, and expenses arising from your content, data, instructions, account use, breach of these Terms, violation of law, infringement of rights, misuse of the services, or use of connected third-party accounts.
Force Majeure
We are not responsible for delay or failure caused by events outside our reasonable control, including network failures, cloud or provider outages, payment processor issues, app store issues, social platform changes, cyberattacks, labor disputes, war, sanctions, natural disasters, government actions, or utility failures.
Sanctions and Export Controls
You may not use the services if you are subject to sanctions or trade restrictions under laws that apply to Resurge Games FZ-LLC, including applicable United Arab Emirates sanctions and trade-control requirements, or if your use would cause us or our providers to violate those requirements.
Governing Law and Disputes
These Terms are governed by the applicable laws of the United Arab Emirates and Ras Al Khaimah, without regard to conflict-of-law rules. Unless mandatory law provides otherwise, the courts of Ras Al Khaimah, United Arab Emirates will have exclusive jurisdiction over disputes arising from or relating to these Terms or the services.
Changes
We may update these Terms when our services, business, providers, or legal obligations change. Updated Terms apply when posted, unless a different effective date is stated. If you continue using the services after updated Terms are posted, you accept the updated Terms.
